TERMS & CLIENT AGREEMENT


In these terms and conditions, “the Photographer” shall refer to Paruto, Paruto Media, Paruto Music, and all affiliated companies. “The Client(s)” refers to any individual or entity engaging the services of the Photographer.


These terms and conditions are binding and may only be varied with the express written agreement of the Photographer. Throughout this document, “Paruto” and “the Photographer” are used interchangeably. “Goods and/or services” include but are not limited to: picture production, picture framing, photobooks, picture editing, makeup application, and makeup transactions.


This website and related services are provided subject to your agreement with this Terms & Client Agreement ("Agreement"), which may be modified or supplemented at any time by Paruto, Paruto Media, Paruto Music, and all affiliated companies. ("Paruto," "we," "us" or "our"). By using or accessing this website or by placing orders through this website and related social platforms, you agree to be bound by this Terms & Client Agreement as it exists at the time of your use, and that by posting of modifications of this Terms & Client Agreement on this website you have received sufficient notice regarding such modifications. If you do not agree with this Agreement, please promptly exit the website and disengage from any service enquiries. In the event of any conflict between this Agreement and any statement, understanding or agreement between you and Photographer, this Agreement controls.


NOTICE REGARDING ARBITRATION: PLEASE READ THIS AGREEMENT CAREFULLY. IT CONTAINS AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST PARUTO, ITS SUBSIDIARIES, ITS AFFILIATES AND THEIR RESPECTIVE OFFICERS, EMPLOYEES, DIRECTORS, AGENTS, SUCCESSORS AND ASSIGNS (COLLECTIVELY, "PARUTO PARTIES") TO BINDING AND FINAL ARBITRATION, AND FURTHER (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST PARUTO PARTIES ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED IN A COURT OF LAW.


1. Law

i. Under Nigerian copyright law, the ownership of all images captured by the Photographer is vested in the Photographer.

ii. All images captured are the sole property of Paruto and cannot be shared, manipulated, or reproduced without Paruto’s express written permission.

iii. A photographer who snaps a picture has the exclusive right to reproduce the work, create derivative works based on it, distribute copies, and display it in public, as provided for in Section 10 of the Nigerian Copyrights Act, 2022.


2. Ownership

i. All photographic materials, including negatives, photos, images, pictures, portraits, or slides, are the exclusive property of Paruto.

ii. Paruto retains the right to use any images for promotional purposes, including samples, contests, exhibitions, advertising, and self-promotion.

iii. In the unlikely event of image usage outside the agreed terms, the Client's remedies are limited to:

a) Removal of the image within 30 days of receiving a formal complaint.

b) Monetary compensation not exceeding ₦25,000 or equivalent services from Paruto.


3. Display

The Client grants the Photographer the right to use any photographs covered by this agreement for promotional purposes, including advertisements, brochures, magazine features, websites, and sample albums.


4. Soft Copies

i. Clients will receive soft copies of images they have paid for, at no additional charge.

ii. All soft copy images provided will bear the Paruto logo.


5. Creative License, Coverage, and Reproduction

i. Photographs will be taken at the Photographer's discretion, with efforts to meet the Client’s requirements.

ii. Special requests are non-binding but will be accommodated where possible.

iii. The Photographer cannot guarantee specific shots, backgrounds, or group arrangements due to external factors such as weather or availability of subjects.

iv. Paruto is not liable for lost, damaged, or unproduced images due to technical failure or unforeseen circumstances.


6. Storage

Client files are stored for a maximum of seven (7) days following the photography session. After this period, files and backups may be deleted.


7. Body Parts

Paruto is not obligated to edit or alter photos to conceal any body parts unless explicitly agreed in writing prior to the shoot.


8. Obstruction

Paruto is not responsible for photos obstructed or ruined due to:

i. Guests or family members taking photos.

ii. Separate flashes from other cameras.

iii. Interference from other professionals, vendors, or venue staff.


9. Discretion

The Photographer retains discretion over the artistic style and editing of images. Special requests must be provided in the form of a written "shot list."


10. Payment

i. A non-refundable booking fee confirms the booking and acceptance of these terms and conditions. This fee will be deducted from the total package cost.

ii. The remaining balance is due in full two (2) weeks prior to the event date.

iii. Additional goods and services must be paid for in full upon ordering.

iv. Ownership of goods and services remains with the Photographer until payment is made in full.


11. Personal Accident

Clients, guests, and employees participate in photographic sessions at their own risk. The Photographer is not liable for personal accidents occurring during a shoot.


12. Force Majeure

i. In the event of cancellation or total photographic failure due to unforeseen circumstances, liability is limited to a full refund of fees paid.

ii. The Photographer is not obligated to secure a replacement in cases of sudden illness, injury, or other events beyond their control (e.g., flooding, traffic, or vehicle breakdown).


13. Delivery

i. Paruto aims to deliver goods and services promptly, though delivery may take up to 4-6 weeks during busy periods.

ii. The Photographer is not liable for delays exceeding this timeframe.


Notices and Questions. All notices and demands hereunder shall be in writing and shall be served by personal service. All notices or demands by mail shall be by certified or registered mail, return receipt requested, or by nationally-recognized private express courier and shall be deemed complete upon receipt. Any such written notice or demand by you to Paruto shall be submitted to Paruto, Plot 1139 Cadastral Zone B07 Opposite Bon Hotel Grand Towers, Katampe, Abuja, Federal Capital Territory or by email [media[@]paruto.com]. Paruto may provide you with notice at any shipping address or email address provided to photographer or Paruto during registration for or use of the Paruto services.
